1. Agreement

Makerchip is operated by Redwood EDA, LLC ("Redwood EDA", "we", "us"). These terms govern your use of Makerchip: the makerchip.com website and IDE, the servers and interfaces behind them, related services we operate, every client that uses them, and AI agents acting for you. Our Privacy Policy and DMCA Policy are part of these terms.

By using Makerchip, you agree to these terms. If you do not agree, do not use Makerchip.

If you are under the age of majority where you live, you may use Makerchip only with the permission of a parent or guardian, or of a teacher or school acting with their authority, who accepts these terms for you and is responsible for your use. If you use Makerchip for an organization, such as a school or company, you confirm that you may bind it to these terms. If you direct children to use Makerchip, for example in a class, you are responsible for obtaining any consent the law requires, such as their parents'. Our Privacy Policy explains how we handle children's information.

2. Makerchip is for open-source development

Makerchip exists for education, research, and open-source development. Use it only for work you are willing to make public. Do not submit proprietary or confidential designs, trade secrets, export-controlled technology, personal information, passwords, or anything else you need to keep private.

3. Your content is not protected

"Your content" means everything you, or a tool acting for you, submit to Makerchip: source code (such as .tlv and Verilog files), projects, included files, and other material.

Your content is sent to and stored on our servers without protection. We do not encrypt it, restrict access to it, or keep it confidential. Anyone who has or guesses its address or identifier may be able to view it, and so may we. We may keep it for as long as we choose, and we may delete it at any time without notice. Makerchip is not a backup service: keep your own copies.

You keep whatever rights you have in your content. You grant Redwood EDA a worldwide, royalty-free, non-exclusive, irrevocable license, which we may sublicense, to store, copy, modify, display, publish, and distribute your content in any medium, to operate, improve, and promote Makerchip, and to train and evaluate AI models, ours or others' (including by licensing or publishing your content for that purpose). You confirm that you have the right to grant this license and that your content does not violate any law or anyone's rights. We do not review content before it is submitted, but we may remove any content at our discretion.

4. Acceptable use

Do not use Makerchip:

Automated use is welcome within these limits. You may use Makerchip through our clients and interfaces, including the VS Code extension and AI agents acting for you, at a volume reasonable for your own work. We may limit, throttle, or suspend use that we consider excessive, or that burdens Makerchip or its other users.

5. AI agents, plugins, and third-party services

You are responsible for everything done through your account or session, including by AI agents and other tools acting for you, as if you had done it yourself.

When you work with an AI agent, the content it handles (your code, images it captures, documents it reads) goes to the AI provider you use, under your agreement with that provider. Redwood EDA does not control that provider and is not responsible for it.

Makerchip runs code that others write: third-party plugins and views, libraries used by designs and visualizations, and designs other users share. Opening a design runs its code. That code runs in your IDE with access to the design you have open. It may change what is in your IDE, act within your Makerchip session (for example, compiling or saving over your projects), show misleading content, and contact other servers and send them data. We do not review, endorse, or control it. Decide for yourself whether to trust it, and use it at your own risk.

Content in Makerchip, including the output of third-party code, may contain instructions aimed at AI agents. You are responsible for supervising the AI agents you use and the permissions you give them.

Makerchip also connects to services run by others, such as GitHub, and loads content you or others choose, such as web pages and documents. Third-party plugins and services have their own terms and policies, and we are not responsible for them.

6. Building on Makerchip

Makerchip offers interfaces for others to build on (its "APIs"): the plugin for embedding the IDE in other applications, the interfaces for third-party views, plugins, and visualization libraries, and the interfaces of its servers. If you use them, for example to embed Makerchip in your product, or to write a view or library that others use, these terms apply to what you build, and so does this section.

7. Our content and software

Apart from your content and material we receive under other licenses, Redwood EDA and its licensors own Makerchip and its content. You may view and use that content for your own work and learning. You may not republish, sell, or redistribute it, except where it is offered under a license that permits this (for example, an open-source license stated with it).

Software we distribute, such as the VS Code extension, is licensed under the license that accompanies it. These terms govern the Makerchip service it connects to.

8. Changes and availability

Makerchip and its clients are under active development, and some features are experimental or pre-release. We may change, suspend, or discontinue any part of Makerchip, or restrict or end your access, at any time and without notice.

9. No warranties

Makerchip is provided "as is" and "as available", without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that Makerchip will be available, secure, or free of errors, or that its results, such as generated Verilog, simulation results, and diagrams, are correct. You are responsible for checking any design before you rely on it, including before fabricating it. Nothing on Makerchip is advice.

10. Limitation of liability

To the fullest extent permitted by law, Redwood EDA will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, business, data, goodwill, or intellectual property, or for any disclosure of your content or harm caused by third-party code, arising from or related to Makerchip, however caused and even if we were told it might happen. Our total liability for all claims related to Makerchip is limited to the greater of the amount you paid us for Makerchip in the 12 months before the claim and US$50.

These limits also protect our members, employees, agents, contractors, successors, and assigns. You agree that they are reasonable. If you do not, do not use Makerchip.

11. Indemnity

You will defend, indemnify, and hold harmless Redwood EDA, and those listed in section 10, against all claims, losses, and expenses (including reasonable legal fees) arising from your content, your use of Makerchip, anything you build on it (including claims by its users), or your breach of these terms.

12. Changes to these terms

We may revise these terms. The "Last updated" date above shows when they last changed. Revised terms apply from the time we publish them. We may ask you to accept them again, for example in the VS Code extension. Continuing to use Makerchip after a revision means you accept it.

13. General

These terms are governed by the laws of the Commonwealth of Massachusetts, and the courts of Massachusetts have exclusive jurisdiction over any dispute about them. If any part of these terms is unenforceable, the rest remains in effect, and the unenforceable part applies to the extent it can. These terms are the entire agreement between you and Redwood EDA about Makerchip. If we do not enforce a provision, we have not waived it. We may assign our rights and obligations under these terms; you may not assign yours without our written consent.
